These Terms & Conditions (“Terms”) constitute a legal agreement between you (“you” or “User”) and UserCRO, Inc., a Delaware corporation doing business as Fuse (“Fuse,” “we,” “us,” or “our”). These Terms govern your access to and use of our website, platform, applications, and related services (collectively, the “Services”).
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services.
We may update these Terms from time to time. The latest version will always be posted at https://fuse.is/terms-conditions. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
1. Description of Services
Fuse provides an AI-native data intelligence platform that:
- Connects to your authorized live marketing and business data sources (e.g., GA4, Google Ads, Meta Ads, Shopify).
- Uses proprietary AI agents and benchmarking to generate analyses, recommendations, and presentation-ready data stories.
- Delivers insights in real time without requiring SQL, ETL pipelines, or manual reporting.
Our Services are intended for strategic advisory purposes only. You are solely responsible for how you interpret, implement, or act on any of Fuse's AI-generated insights or recommendations.
2. Intellectual Property Rights
- Ownership: Fuse owns all rights, title, and interest in the Services, including our technology, software, algorithms, AI prompts, design, content, and trademarks.
- No Transfer: Use of the Services does not transfer any intellectual property rights to you.
- Feedback: By submitting feedback, suggestions, or ideas to Fuse, you grant us a perpetual, worldwide, royalty‑free license to use, copy, modify, publish, and incorporate such feedback into our products and services without any obligation or compensation to you.
3. User Content & Data
- Your Data: You retain all rights to any data you connect or upload to the Services (“User Content”).
- License to Fuse: You grant Fuse a limited, worldwide, non‑exclusive, royalty‑free license to process your User Content only to provide, maintain, and improve the Services.
- Security: We use encryption and other commercially reasonable measures to protect your data. We are SOC 2 compliance‑ready and actively working toward certification.
- No Sale of Data: We do not sell your data to third parties for advertising or marketing.
- PII Handling: Fuse does not intentionally store personally identifiable information (PII) unless it is inherent to the data you choose to connect. You are responsible for ensuring your data sources comply with applicable privacy laws.
4. Your Responsibilities
You agree to:
- Provide accurate, lawful, and complete information when using the Services.
- Comply with all applicable laws and the terms of any third‑party platforms you connect (e.g., Google, Meta).
- Not use the Services for any unlawful, fraudulent, or harmful activity.
- Not attempt to access systems or data you are not authorized to use.
- Not use the Services to create false, misleading, defamatory, or infringing content.
5. AI‑Generated Content Disclaimer
Fuse uses AI to analyze your connected data and generate insights. While we strive for high accuracy, AI outputs may contain errors or omissions and should be independently reviewed.
We make no guarantee that any recommendation will produce specific results. You are solely responsible for verifying and deciding whether to implement any recommendations.
6. Payment & Subscription Terms
- Subscription fees must be paid in advance according to your chosen billing cycle.
- All fees are non‑refundable, including for unused time, partial months, downgrades, or cancellations.
- Prices exclude applicable taxes, which you are responsible for paying.
- We may suspend or terminate your account for non‑payment.
- Fuse AI Credits:
- All subscription plans include a set number of AI usage credits each billing cycle. Credits represent the amount of AI processing available to you for that cycle and have no cash value.
- AI credits do not roll over to the next billing cycle unless explicitly stated in your plan.
- If you use all allocated credits before the end of your billing cycle, you must upgrade to a higher subscription tier to access additional credits. When you upgrade, your new subscription tier will begin immediately, and the increased subscription fee will be prorated for the remainder of your current billing cycle.
- You may downgrade your subscription at any time, with the lower subscription fee taking effect at the start of your next billing cycle.
- All credits included with your subscription are non‑refundable, including for unused or expired credits.
7. Cancellation & Termination
- You may cancel at any time via your account settings. Cancellation takes effect at the end of your current billing period.
- Upon cancellation, your account will be closed and your data may be deleted immediately or after a short retention period.
- We may suspend or terminate your access if you violate these Terms, create a security risk, or misuse the Services.
8. Security & Data Breach Limitation
- We implement commercially reasonable measures to protect your data.
- No system is 100% secure, and we cannot guarantee prevention of all unauthorized access or breaches.
- We are not liable for damages caused by a data breach, cyberattack, or other security incident, except where required by law.
9. Limitation of Liability
To the fullest extent permitted by law:
- Fuse is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or data.
- Fuse’s total liability for any claim is limited to the total amount you paid us in the 12 months before the claim arose.
- You agree to indemnify and hold Fuse harmless from any claims related to your use of the Services.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict‑of‑law rules.
Any disputes will be resolved exclusively in the state or federal courts located in Delaware, and you agree to their jurisdiction.
